When I started my new club late last year, I incorporated it as a non-profit
corporation. All it took was an application from my state's Secretary of State
and a small fee ($25). Our state has the forms and instructions on the state's
web site and our 4WD association can lend help if need be (but in my case, it
was unbelievably simple!). My state requires we have a set of by-laws, but
doesn't require a copy of them - our 4WD association required a copy though -
and in fact, they require the member clubs to be incorporated (and non-profit
is recommended for most) - probably for the reasons the lawyer you talked to
about... to make it harder to sue the individuals, and the club has little in
the way of assets to loose in case of a legal battle, whereas members have
incomes, homes, vehicles, etc...
